Partner Service Terms
These Partner Service Terms (these “Service Terms”) form part of the Master Partner Agreement (“MPA”) entered into by and between Partner and Meta which expressly incorporates by reference these Service Terms. Capitalized terms not otherwise defined in these Service Terms shall have the meanings ascribed to them in the General Terms or elsewhere in the Agreement (as defined in the MPA).
- Participation in Program.1.1. Introduction. These Service Terms grant Partner access to certain enablement materials, training, and other resources for Partner to provide existing and potential Customers with deployment and other professional services related to the deployment and use of Meta Products (the “Service Program”).1.2. Accreditation and Approval. In order to participate in the Service Program and provide Partner Services (as defined below) as an authorized partner, Partner must participate in a reasonable number of training programs, as may be specified and accessed within Partnerhood and/or PRM, or by other means, as may be updated and/or directed by Meta from time to time, to ensure that Partner is adequately trained and able to support, describe and explain Meta Products to Customers and Leads (“Requirements”). Meta may suspend Partner’s appointment as an authorized service provider of Meta Products in the event Partner does not participate in such training programs or does not meet, to Meta’s reasonable satisfaction, the Requirements. Partner has no rights under these Service Terms, and may not market itself to Customers or Leads as an authorized service partner for the applicable Meta Products until Partner satisfies such Requirements. Upon satisfactorily completing the Requirements, Partner may commence offering Partner Services in accordance with the terms of the Agreement, including identifying itself as an authorized service partner for the applicable Meta Products, and may use Meta’s Marks as permitted in the Agreement.1.3. Customer Relationships. Partner is solely responsible and liable for its own relationships and agreements with Customers and Leads and for any Partner Services that Partner may provide. In the event Partner requires access to, and use of, the Meta Products used by a Customer or Lead in connection with the Partner Services, Partner must request such access from the applicable Customer/Lead, and the Customer/Lead will have sole discretion to approve or reject such request and enable access for Partner. Partner is responsible for obtaining all rights and consents from the Customer/Lead as necessary for Partner to access and use such account and any related Customer Data. For clarity, Partner may only provide Partner Services to Customers and Leads for which Partner and the applicable Customer/Lead have entered into valid agreement for the provisioning of such Partner Services. Nothing in the Agreement expands Customers’ rights and/or obligations regarding Meta Products or otherwise alters the terms of any agreement entered into between such Customers and Meta, including as it may relate to Partner’s use of Meta Products on the Customer’s behalf. Meta shall not be liable to Partner for any fees or expenses that Partner may incur while providing Partner Services.
- Requirements.2.1. Initial Training. Prior to offering or providing Partner Services to any Customer or Lead, Partner must satisfactorily complete all training requirements identified to Partner by Meta.2.2. Ongoing Training. Partner must satisfactorily complete all ongoing training and re-qualification requirements identified to Partner by Meta.2.3. Partner Personnel. Partner must designate a point of contact to facilitate communications and activities under these Service Terms with Meta. Partner will also designate a dedicated team with primary responsibility for providing and managing Partner Services to Customers and Leads.
- Partner Services.3.1. The Partner Services may include the following services provided directly by Partner to a Customer/Lead (which must be specifically identified in an agreement entered into between Partner and the Customer/Lead):3.1.1. Assistance in setup and implementation of the applicable Meta Products;3.1.2. Training Customer/Lead on the use of Meta Products;3.1.3. Assistance in managing the Customer’s/Lead’s Meta Products; and3.1.4. Any other additional services that are core to Partner’s own business services and that are complementary to the applicable Meta Products.3.2. Partner Services shall not include the creation of a Customer’s Meta Product itself (e.g. Partner may not sign up for Meta Products itself and then hand it over to a Customer), nor any administrative transactional services (e.g. Partner may not process any billing or manage contract ownership of Meta Products for Customers).
- Additional Activities.4.1. Go-To-Market. Meta and Partner may engage in go-to-market activities regarding their respective offerings. For clarity, and unless expressly stated otherwise in the Agreement, these Service Terms do not grant either Party the right to distribute or resell the other Party’s products or services.4.2. Publicity. Upon Meta’s request, Partner agrees to collaborate with Meta in joint press releases mutually agreed upon by both Parties.
- Changes. Meta, in its sole discretion, may modify these Service Terms in accordance with Section 10.8 (Changes) in the General Terms.
